These Terms & Conditions (“Terms”) govern your access to and use of the Moolah Points loyalty and rewards platform, including the Moolah Points mobile application, website, web-based enrollment services, QR-code enrollment, standalone devices, kiosks, point-of-sale integrations, loyalty programs, points, rewards, offers, campaigns, and related services (collectively, the “Services”).

The Services are provided by Vitreous Alliance INC, doing business as Moolah Points (“Moolah,” “Moolah Points,” “we,” “us,” or “our”).

“You” and “your” refer to an individual customer who accesses, registers for, or uses the Services. A retailer, restaurant, store, business, or other organization that uses Moolah to provide loyalty benefits to its customers is referred to as a “Participating Merchant.” A Participating Merchant may operate one or more participating outlets or locations under the same merchant account or business group.

By creating a Moolah Points account, accepting these Terms, or otherwise using the Services, you agree to these Terms.

These Terms should be read together with our Moolah Points Privacy Policy and, where applicable, our Moolah Points Messaging Terms & Conditions.

Acceptance of these Terms does not, by itself, constitute consent to receive promotional SMS or MMS messages, promotional emails, or promotional push notifications. Where required, consent for promotional communications is requested separately.

1. About Moolah Points

Moolah Points is a loyalty, rewards, customer-engagement, and promotional technology platform. Moolah enables Participating Merchants to provide loyalty programs through which customers may earn and redeem points, receive rewards and discounts, participate in campaigns, receive coupons and promotional offers, and access other merchant-specific loyalty benefits.

Depending on the Participating Merchant and available integration, customers may interact with Moolah through a participating point-of-sale system, standalone Moolah device, kiosk, Moolah mobile application, website, QR code, or another supported method.

Moolah may also provide Participating Merchants with tools for managing loyalty programs, customers, points, rewards, customer groups, campaigns, promotions, and permitted customer communications.

Available features may vary depending on the Participating Merchant, outlet, location, POS integration, device, software version, merchant configuration, or campaign.

2. Participating Merchants

Participating Merchants are independent businesses that use Moolah technology to operate or support their own loyalty programs. Participating Merchants generally determine their own earning rules, redemption rules, rewards, campaigns, customer groups, eligible products, expiration policies, and other merchant-specific loyalty conditions.

Unless expressly stated otherwise, Moolah does not manufacture, own, sell, supply, or guarantee products or services purchased from a Participating Merchant. Each Participating Merchant remains responsible for its own products, services, prices, inventory, taxes, refunds, returns, licenses, legal obligations, age restrictions, customer service, offers, campaigns, rewards, and merchant-specific policies.

The business relationship between Moolah and a Participating Merchant may be governed by a separate merchant or business agreement. These Terms primarily govern the customer’s use of Moolah Points.

3. Registration and Merchant Enrollment

Customers may create a Moolah Points account and enroll or subscribe to the loyalty program of one or more Participating Merchants.

When we use terms such as “subscribe,” “join,” or “enroll” in relation to a Participating Merchant, we generally mean joining that merchant’s loyalty or customer-engagement program. It does not mean purchasing a paid subscription unless expressly stated otherwise.

After enrolling with a Participating Merchant, you may become eligible to earn points, redeem points, receive rewards, participate in applicable campaigns, receive coupons, view offers, and use other loyalty benefits provided by that merchant.

Joining one Participating Merchant does not automatically enroll you with another Participating Merchant.

During registration, Moolah may request information such as your name, mobile telephone number, email address, birthday or date of birth where applicable, account information, merchant enrollment information, and communication preferences.

You agree to provide information that is accurate, current, and complete and must not knowingly use another person’s telephone number, email address, or other identifier unless legally authorized to do so.

4. Mobile Number and OTP Verification

Moolah may use a one-time password (“OTP”), verification code, or similar method to verify that you have access to the mobile telephone number associated with your account.

Successfully completing OTP verification confirms access to the mobile number but does not by itself constitute consent to receive promotional SMS or other marketing communications.

Where separate promotional consent is required, Moolah will request that consent independently from account verification and acceptance of these Terms.

5. Ways to Access and Use Moolah

At a Participating Merchant using a compatible point-of-sale integration, your Moolah account may be identified during checkout and qualifying transaction information may be exchanged between the POS system and Moolah to calculate applicable points, rewards, discounts, or redemptions.

Participating Merchants may also use Moolah through a standalone device without a fully integrated POS system. In that situation, qualifying transaction information may be entered into the Moolah device to calculate applicable earning or redemption benefits.

Participating Merchants may display Moolah QR codes that direct customers to a registration or merchant-enrollment page, the Moolah mobile application, Google Play, the Apple App Store, or another authorized Moolah destination. Customers may also register directly through Moolah web pages or the Moolah mobile application.

Moolah may integrate with additional POS systems, applications, websites, kiosks, devices, and business platforms in the future. These Terms will apply to such integrations unless separate terms are presented.

6. Eligibility

You must have the legal capacity to agree to these Terms.

Moolah is not intended for children under 13 years of age. Where applicable law requires a higher minimum age, parental authorization, or another form of consent, those requirements will apply.

Participating Merchants may establish additional eligibility or age requirements, particularly where age-restricted products or services are involved. Participation in Moolah does not replace any legally required age-verification process.

7. Merchant-Specific Points and Multiple Outlets

Moolah Points are currently merchant-specific loyalty points. Points earned with one Participating Merchant are not currently a general or global Moolah currency and cannot be used with an unrelated Participating Merchant.

If a Participating Merchant operates multiple participating outlets or locations under the same merchant group, points associated with that merchant may be used at its participating outlets, subject to the rules applicable at the outlet where the customer is earning or redeeming points.

A Participating Merchant may configure different earning and redemption rules for different outlets. Points may therefore be earned at one outlet under that outlet’s earning rules and later redeemed at another participating outlet belonging to the same merchant group.

When points are redeemed, the current redemption rules of the outlet where the redemption takes place will apply.

Moolah does not currently provide a general cross-merchant or global points balance. If such functionality is introduced in the future, additional or updated terms may apply.

8. Earning Moolah Points

Participating Merchants determine how customers earn points through their loyalty programs. Depending on merchant configuration, points may be earned based on qualifying transaction amounts, eligible products or categories, quantities purchased, qualifying visits, customer groups, loyalty status, promotional campaigns, bonus-point offers, or other qualifying activities.

A merchant may exclude selected products, product categories, transactions, taxes, fees, or other amounts from earning points. Such exclusions may differ between merchants or between outlets belonging to the same merchant.

A single transaction may include general transaction-based points, item-specific points, promotional bonus points, or a combination of loyalty benefits.

The rules applicable at the outlet where the transaction takes place determine how points are earned.

9. Redeeming Points and Store Credit

Participating Merchants determine how points may be redeemed. Eligible points may be applied toward qualifying products or purchases based on the redemption rules and redemption value established by the applicable Participating Merchant.

Moolah may support a merchant-defined Store Credit functionality through which points are assigned a redemption value and may be applied toward eligible products or purchases.

The applicable redemption value, eligible products, redemption limits, and other conditions are determined by the Participating Merchant.

Participating Merchants may exclude specific products, categories, or transactions from point redemption. Such restrictions may vary between outlets.

Moolah Points are loyalty benefits and are not cash, legal currency, bank deposits, or general-purpose stored value and cannot be withdrawn or exchanged for money unless required by applicable law.

10. Point Transfers Between Customers

Moolah may allow a customer to transfer eligible points to another Moolah customer.

Before a transfer can be completed, the receiving customer must already be enrolled or subscribed with the same Participating Merchant or merchant group associated with the points being transferred. The receiving customer is not required to have previously completed a purchase with that merchant; enrollment with the merchant is sufficient.

Transferred points remain associated with the merchant from which they originated. They may be used only within that merchant’s participating outlets and do not become global Moolah Points or become usable with unrelated Participating Merchants.

Once a point transfer has been successfully completed, the sending customer cannot cancel or reverse the transfer.

If transferred points are subject to an expiration date, they retain their original expiration date. A transfer does not restart or extend the expiration period.

Only eligible points may be transferred. Rewards, coupons, discounts, promotional offers, and other loyalty benefits cannot be transferred between customers.

Moolah currently does not impose a fixed Moolah-wide minimum or maximum transfer amount. However, transfers may be subject to technical, security, fraud-prevention, or other reasonable controls.

Moolah or the applicable Participating Merchant may reverse or adjust a point transfer where reasonably necessary because of fraud, error, a refund, a voided or invalid transaction, duplicate activity, or other improper activity.

11. Rewards, Coupons, Offers, and Campaigns

Participating Merchants may use Moolah to create rewards, discounts, coupons, welcome-point programs, bonus-point campaigns, product-specific offers, transaction-based promotions, visit-based rewards, customer-group promotions, seasonal campaigns, limited-time offers, and other loyalty incentives.

Campaigns, coupons, rewards, and promotions may be configured for the merchant generally or may be limited to specific participating outlets. A campaign available at one outlet does not automatically apply at every other outlet unless the Participating Merchant has configured it to do so.

Each campaign, reward, or coupon may include its own eligibility requirements, participating locations, eligible products, start and end dates, minimum purchases, redemption limits, customer groups, age restrictions, point requirements, or other conditions.

Campaigns, coupons, and rewards expire automatically on their configured expiration date and cannot be used after that date.

Rewards and coupons are not transferable between customers.

Any additional conditions displayed with a particular campaign, reward, or offer form part of the rules applicable to that promotion.

12. Campaign Cancellation and Reward Adjustments

A Participating Merchant may cancel a campaign before its originally scheduled end date where permitted by applicable law.

If a campaign is cancelled, rewards or coupons already issued through that campaign may also be cancelled and will no longer be available for use.

A merchant may also cancel, revoke, or correct an issued coupon or reward where reasonably necessary because of fraud, error, invalid activity, duplicate issuance, system error, or cancellation of the underlying campaign.

Moolah or a Participating Merchant will not ordinarily cancel an otherwise valid reward or coupon before its expiration without such a legitimate reason.

13. Returns, Refunds, Voids, and Point Adjustments

Points are earned based on qualifying completed transactions. If a transaction or qualifying portion of a transaction is subsequently returned, refunded, cancelled, voided, reversed, charged back, or otherwise determined to be invalid, points earned from that transaction or affected portion will be deducted or adjusted accordingly.

Moolah or the applicable Participating Merchant may also correct point balances, transferred points, rewards, or other loyalty benefits resulting from duplicate transactions, incorrect transaction information, technical errors, system errors, fraud, abuse, or incorrect calculations.

Where points associated with a returned or refunded transaction have already been redeemed or transferred, Moolah or the Participating Merchant may make reasonable adjustments to the applicable account or accounts.

14. Point Expiration and Program Changes

Each Participating Merchant determines whether its points expire and, if so, establishes the applicable expiration period.

Moolah does not automatically forfeit merchant-specific points solely because a customer has not used their Moolah account for a period of time. An inactive Moolah account may remain active, while points within that account remain subject to the expiration rules established by the applicable Participating Merchant.

Participating Merchants may change earning rates, redemption values, eligible products, campaign rules, or other loyalty-program conditions. Such changes generally apply going forward.

The number of points already earned will not be retroactively reduced solely because a merchant changes its earning rules. However, the redemption value, eligibility rules, or conditions applicable to a future redemption may change.

This does not prevent adjustments resulting from point expiration, returns, refunds, transaction reversals, fraud, errors, merchant withdrawal from Moolah, account closure, merchant unsubscription, or other circumstances described in these Terms.

15. Unsubscribing From a Participating Merchant

If you unsubscribe or otherwise end your enrollment with a Participating Merchant, all unused points, rewards, coupons, discounts, and other merchant-specific loyalty benefits associated with that merchant will be forfeited immediately, subject to applicable law.

If you later enroll with that Participating Merchant again, previously forfeited points, rewards, coupons, or other benefits will not be restored.

Your new enrollment will begin with a new loyalty relationship under the merchant’s then-current program rules.

Unsubscribing from one Participating Merchant does not automatically close your overall Moolah account or affect your enrollment with other Participating Merchants.

16. If a Merchant or Outlet Stops Using Moolah

If only one outlet or location of a Participating Merchant stops using Moolah but other outlets belonging to the same merchant group continue participating, eligible merchant-specific points may continue to be redeemable at the remaining participating outlets, subject to applicable merchant and outlet rules.

If the Participating Merchant ends its loyalty program, ends its entire participation in Moolah, or otherwise ceases using Moolah across its participating merchant group, unused points and merchant-specific loyalty benefits associated with that merchant may no longer be redeemable and may be forfeited, unless otherwise required by applicable law.

Moolah or the Participating Merchant may choose to provide advance notice or a limited period in which outstanding benefits may be redeemed before participation ends. However, such notice or redemption period is not guaranteed unless required by applicable law.

Moolah is not responsible for continuing a merchant-specific loyalty program after the applicable Participating Merchant has stopped participating in Moolah.

17. Account Closure and Deletion

You may request to permanently close or delete your Moolah account.

If your Moolah account is permanently closed or deleted, all unused points, rewards, coupons, discounts, and other loyalty benefits associated with the account will be permanently forfeited and cannot be recovered, subject to applicable law.

Closing or deleting an account is different from simply ceasing to use Moolah. An account that remains open but inactive is governed by the applicable Participating Merchants’ expiration rules.

Requests concerning deletion of personal information will also be handled in accordance with the Moolah Points Privacy Policy and applicable privacy laws.

18. Personalization and Customer Segmentation

To the extent permitted by applicable law and consistent with the Moolah Points Privacy Policy, information associated with your use of Moolah may be used to personalize your loyalty experience and determine which rewards, campaigns, or offers may be relevant to you.

This may include merchant interactions, qualifying transaction history, purchase activity, visit frequency, product or category activity, points activity, reward activity, offer redemption, campaign engagement, loyalty status, account preferences, and communication preferences.

Moolah and Participating Merchants may use this information, where permitted, to establish customer groups or segments, determine campaign eligibility, provide relevant rewards, determine eligibility for bonus points, personalize offers, measure campaign performance, and improve loyalty programs.

Using information to determine that a promotion may be relevant to you does not automatically authorize Moolah or a Participating Merchant to deliver that promotion through SMS, email, push notification, or another channel where separate permission is required.

19. Marketing Communications and Consent

Acceptance of these Terms and participation in Moolah loyalty programs are separate from optional consent to receive promotional communications.

Where required, Moolah may separately ask whether you wish to receive promotional communications through SMS or MMS, email, push notifications, or other supported communication channels.

Communication preferences may be selected separately, and enabling one communication channel does not automatically authorize another.

Declining optional promotional communications does not, by itself, prevent you from creating a Moolah account, enrolling with a Participating Merchant, making purchases, earning eligible points, redeeming eligible points, transferring eligible points, or otherwise participating in ordinary Moolah loyalty functionality.

Where appropriate permission has been provided, Moolah or an appropriately identified Participating Merchant may send promotional communications relating to rewards, discounts, coupons, bonus points, merchant campaigns, product offers, limited-time promotions, campaign reminders, and similar promotional content.

Additional rules relating to promotional SMS and MMS messaging programs are described in the Moolah Points Messaging Terms & Conditions.

20. Transactional and Service Communications

Moolah may send communications reasonably necessary to operate your account, verify your identity, secure the Services, or provide functionality you request.

These communications may include OTP verification, account verification, password resets, security or fraud alerts, account changes, points or reward confirmations, redemption confirmations, point-transfer information, customer-support responses, legal notices, or other service-related communications.

Transactional and service communications are different from promotional communications.

Where permitted by applicable law, withdrawing marketing consent does not necessarily prevent Moolah from sending communications reasonably necessary to provide a requested Service, protect your account, or comply with applicable law.

21. Privacy and Consent Records

The collection, use, disclosure, processing, retention, and protection of personal information associated with Moolah is described in the Moolah Points Privacy Policy.

Moolah may maintain records reasonably necessary to document account registration, acceptance of these Terms, Privacy Policy acknowledgment, merchant enrollment, communication preferences, marketing consent, consent dates and sources, withdrawal of consent, opt-out requests, and related compliance information.

Such records may be retained where reasonably necessary to operate the Services, respond to customers, protect against fraud, maintain security, demonstrate compliance, or satisfy applicable legal, regulatory, telecommunications, or contractual requirements.

22. Third-Party Services and Future Integrations

Moolah may integrate or communicate with third-party technologies including point-of-sale systems, retail platforms, telecommunications providers, SMS and email providers, push-notification services, cloud and hosting providers, authentication systems, analytics providers, mobile operating systems, application marketplaces, and other technology services.

Moolah may integrate with additional POS systems, applications, websites, kiosks, devices, and business platforms in the future.

Third-party services may be governed by their own terms and privacy policies. Moolah does not control every third-party system and cannot guarantee uninterrupted availability of systems outside our reasonable control.

23. Account Security, Fraud, and Prohibited Conduct

You are responsible for taking reasonable steps to protect your Moolah account and should notify Moolah if you believe your account has been accessed without authorization or that your account information has been compromised.

You may not use Moolah to commit fraud, create fraudulent accounts or transactions, artificially generate qualifying purchases or visits, manipulate point balances, improperly obtain or transfer points, improperly obtain rewards, abuse campaigns, circumvent promotional restrictions, exploit technical errors, access another customer’s account without authorization, interfere with system security, introduce malicious software, impersonate another person, infringe intellectual-property rights, or otherwise violate applicable law.

Moolah may reasonably suspend or restrict an account while investigating suspected fraud, unauthorized activity, security risks, or material violations of these Terms.

Where points or rewards were obtained or transferred through fraud, abuse, error, or prohibited activity, Moolah or the applicable Participating Merchant may correct, reverse, or cancel those benefits.

24. Intellectual Property

The Moolah Points platform, mobile application, software, website, branding, trademarks, logos, interfaces, designs, databases, technology, and related intellectual property are owned by or licensed to Vitreous Alliance INC.

Except where expressly permitted by Moolah or applicable law, you may not copy, reproduce, modify, distribute, resell, reverse engineer, commercially exploit, or create unauthorized derivative works from Moolah technology or intellectual property.

Names, trademarks, logos, products, and promotional materials belonging to Participating Merchants remain the property of their respective owners.

25. Service Availability and Technical Limitations

We aim to provide reliable Moolah Services, but we do not guarantee that the Services will always be available, uninterrupted, or error-free.

Functionality may occasionally be affected by internet connectivity, mobile networks, POS connectivity, telecommunications networks, third-party systems, software maintenance, application updates, hardware failures, synchronization delays, security events, merchant systems, or other circumstances outside our reasonable control.

Temporary technical issues may delay the display or calculation of points, rewards, redemptions, transfers, or account information.

Where appropriate and reasonably verifiable, Moolah or the Participating Merchant may correct affected loyalty information after reviewing the underlying activity.

26. International Availability and Consumer Rights

Moolah Points may be offered in multiple jurisdictions. Features, loyalty rules, privacy rights, consumer protections, marketing requirements, and communication requirements may vary depending on location.

These Terms provide general rules governing use of Moolah Points.

Nothing in these Terms is intended to exclude, restrict, or waive any consumer right or legal protection that cannot lawfully be excluded or waived.

Where mandatory local law conflicts with these Terms, that law will apply to the extent of the conflict.

27. Disclaimer and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOOLAH POINTS AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

Moolah does not guarantee that the Services will always be uninterrupted, error-free, or available, that a particular Participating Merchant will continue participating in Moolah, that a particular reward or promotion will remain available, or that every Moolah feature will be available through every merchant, outlet, device, location, or integration.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VITREOUS ALLIANCE INC, MOOLAH POINTS, AND THEIR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF THE SERVICES.

Unless expressly stated otherwise, purchases of products or services are transactions between you and the applicable Participating Merchant.

The Participating Merchant remains responsible for its products and services, including matters such as pricing, product quality, availability, taxes, refunds, returns, warranties, and merchant customer service.

Nothing in these Terms excludes or limits any liability, warranty, guarantee, consumer right, or remedy that cannot lawfully be excluded or limited.

28. Customer Support and Issue Resolution

If you have an issue relating to points, rewards, redemptions, point earning, merchant campaigns, coupons, purchases, refunds, or merchant-specific loyalty rules, please contact the applicable Participating Merchant first, as the merchant generally controls its loyalty program and transaction-related rules.

If the Participating Merchant is unable to resolve the issue, you may then contact Moolah Points for additional assistance.

If your issue relates to your Moolah account, login, OTP verification, mobile application, website, point-transfer functionality, technical functionality, or another Moolah system-related matter, please contact Moolah Points directly.

We encourage customers to contact the appropriate party first so that issues can be reviewed and resolved as efficiently as possible.

Nothing in this section limits any rights or remedies available to you under applicable law.

29. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles, except where mandatory consumer-protection or other applicable laws in your jurisdiction require otherwise.

Nothing in these Terms is intended to remove any right that cannot legally be waived.

30. Changes to Moolah and These Terms

Moolah may add, modify, replace, suspend, or discontinue features, POS integrations, enrollment methods, merchant tools, loyalty functionality, campaign functionality, or other Services from time to time.

We may also update these Terms. The Last Updated date at the beginning of these Terms identifies the most recent version.

Where required by applicable law, appropriate notice of material changes will be provided.

Continued use of Moolah after revised Terms become effective may constitute acceptance of the revised Terms where permitted by applicable law.

Changes to these Terms do not, by themselves, create new promotional SMS, email, or push-notification consent where separate consent is required.

31. General Legal Terms

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by applicable law.

If Moolah does not immediately enforce a provision of these Terms, that does not mean Moolah has waived that provision or any other right.

These Terms should be read together with the Moolah Points Privacy Policy, the Moolah Points Messaging Terms & Conditions where applicable, promotion-specific terms, and any other terms expressly presented for a particular Service.

Participating Merchants may separately establish lawful terms governing their own products, services, loyalty programs, rewards, campaigns, and promotions.
